Terms of Service

2.1 Eligibility

4.1 Our Content

All content, including software, algorithms, documentation, designs, and materials remain the exclusive property of Vertex Intelligence. We grant you a limited, non-exclusive, non-transferable license to use our services for their intended purpose.

4.2 Your Data

You retain ownership of data you provide to us. By using our services, you grant us a license to process your data as necessary to deliver services. We do not claim ownership of your business data or intellectual property.

4.3 Restrictions

• No reproduction without written permission
• No distribution or public display of our materials
• No modification or derivative works
• No removal of proprietary notices

4.4 Third-Party Content

We acknowledge and respect third-party intellectual property rights. Our services may incorporate components licensed from other providers, subject to their respective terms.

5.1 Service Delivery

We provide services according to specifications outlined in project agreements. Implementation timelines and deliverables are defined through consultation and documented in service contracts.

5.2 Payment Terms

• Fees are specified in service agreements
• Payment schedules follow project milestones
• Late payments may incur additional charges
• All fees are in Singapore Dollars unless otherwise stated
• Prices exclude applicable taxes unless specified

5.3 Cancellation and Refunds

Cancellation terms are defined in individual service agreements. Work completed prior to cancellation remains billable. Refunds are considered on a case-by-case basis for services not yet delivered.

5.4 Service Modifications

We reserve the right to modify, suspend, or discontinue services with reasonable notice. We strive to minimize disruption and provide alternatives when possible.

6.1 Service Warranties

We warrant that services will be performed with reasonable skill and care consistent with industry standards. We do not warrant specific business outcomes or results.

6.2 Disclaimers

SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING:

• Merchantability and fitness for particular purpose
• Non-infringement of third-party rights
• Uninterrupted or error-free operation
• Accuracy or completeness of results
• Meeting specific business requirements

6.3 User Responsibilities

You assume responsibility for selecting appropriate services, evaluating results, and implementing recommendations. We provide tools and expertise but final business decisions remain yours.

Exceptions

Confidentiality obligations do not apply to information that:

• Is publicly available through no fault of receiving party
• Was rightfully possessed before disclosure
• Is independently developed without access to confidential information
• Must be disclosed pursuant to legal requirements

10.1 Informal Resolution

Before initiating formal proceedings, parties agree to attempt resolution through good-faith negotiation. Contact us at [email protected] to begin dispute resolution.

10.2 Mediation

If informal resolution fails, parties agree to mediation administered by the Singapore Mediation Centre before pursuing arbitration or litigation.

10.3 Arbitration

Disputes not resolved through mediation shall be settled by arbitration in Singapore under the Singapore International Arbitration Centre rules. The arbitration shall be conducted in English.

10.4 Governing Law

These terms are governed by the laws of Singapore without regard to conflict of law principles. Singapore courts have exclusive jurisdiction for disputes not subject to arbitration.

11.1 Termination by You

You may terminate services by providing written notice according to terms specified in service agreements. You remain responsible for payment of services provided prior to termination.

11.2 Termination by Us

We may terminate or suspend services immediately if you breach these terms, engage in prohibited activities, or fail to make required payments.

11.3 Effects of Termination

• Your right to access services ceases immediately
• We may delete or archive your data per our retention policy
• Outstanding payments become due immediately
• Confidentiality obligations survive termination
• We provide reasonable transition assistance as agreed

12.1 Entire Agreement

These terms, together with our Privacy Policy and service-specific agreements, constitute the entire agreement between parties regarding use of services.

12.2 Severability

If any provision is found invalid or unenforceable, remaining provisions continue in full force and effect. Invalid provisions shall be modified to achieve their intended purpose to the extent possible.

12.3 No Waiver

Failure to enforce any provision does not constitute waiver of that provision or any other provision. Waiver of any breach does not waive subsequent breaches.

12.4 Assignment

You may not assign or transfer these terms without our prior written consent. We may assign these terms to affiliates or in connection with mergers, acquisitions, or asset sales.

12.5 Force Majeure

Neither party is liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, strikes, or government actions.
